1. Introduction

Welcome to Potrix (“we,” “us,” “our,” or “Potrix”). By accessing or using our website at potrix.net (the “Site”) and any services (“Services”) we offer, you agree to these Terms & Conditions (“Terms”). If you do not agree, please do not use our Site or Services.

2. Eligibility

You must be at least 18 years old to use our Site or engage our Services. By agreeing, you represent that you meet this requirement.

3. Services & Deliverables

We provide creative, marketing, design, development, and related services as outlined on our Site. Any project scope, deliverables, timeline, and fees will be confirmed in a separate written agreement or proposal.

4. Client Responsibilities

You will provide all necessary input, feedback, content, logos, brand guidelines, and approvals in a timely manner. Delays in your feedback may result in adjusted timelines or additional fees.

5. Fees & Payment

Fees for Services will be quoted in writing. Unless otherwise agreed, payment is due net 30 days from invoice date. Late payments incur interest at 1.5% per month, or the maximum allowed by law. We retain ownership of all work until full payment is received.

6. Intellectual Property

Upon full payment, we grant you a worldwide, non-exclusive license to use the final deliverables for your business purposes. We retain all moral rights and underlying source files unless otherwise agreed in writing. You warrant that any content you provide does not infringe third-party rights.

7. Confidentiality

Each party agrees to keep the other’s confidential information secure and not to disclose it to third parties. Confidential information does not include publicly available information or data independently developed without use of the other’s confidential information.

8. Warranties & Disclaimers

We warrant that Services will be performed in a professional manner. Except as expressly provided, all Services and deliverables are provided “as is,” with no other warranties, express or implied.

9. Limitation of Liability

To the maximum extent permitted by law, Potrix’s total liability for any claim arising from or in connection with these Terms or Services is limited to the total fees paid by you for the specific Service giving rise to the claim. Under no circumstances will we be liable for indirect, incidental, consequential, or punitive damages.

10. Termination

Either party may terminate the Services for material breach if the breach is not cured within 14 days of written notice. Upon termination, you will pay for all Services rendered up to the termination date.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of California, USA, without regard to conflict of laws principles. Any dispute will be resolved through binding arbitration in Los Angeles County, California, under the rules of the American Arbitration Association.

12. Changes to Terms

We may update these Terms from time to time. We’ll notify you of material changes via email or a notice on our Site. Continued use after changes constitutes acceptance.
